Terms & Conditions

Windsor Vanguard Fine Automobile Shipping (“Windsor Vanguard,” “we,” “us”) provides premium vehicle transport services arranged by NX, LLC, a fully licensed and bonded auto transport company. By placing an order, Customer agrees to the terms below.


1. Who’s Who & What This Covers

  • Customer: Any party listed in the shipping/billing details, including the cardholder.

  • Dealer: A Customer that is a dealership or acts on a dealer’s behalf (owner, manager, sales associate, etc.).

  • Carrier: The motor carrier assigned by NX, LLC to transport the vehicle(s).

  • Dispatch / Assignment: The point at which a vehicle is assigned to a Carrier. For offshore shipments, issuance of a vessel booking number counts as Dispatch.


2. Our Service Model & Identity

  • Entity Status: NX, LLC arranges and manages shipments with licensed and insured carriers.

  • Release Only to the Named Parties: Customer agrees to release the vehicle only to the Carrier identified on the Dispatch notice. If a caller’s name does not match, Customer will contact Windsor Vanguard/NX immediately before releasing the vehicle.

  • Authority & Insurance Certificates: Available upon Customer request at any time.


3. Quotes, Rate Integrity & What You Pay

  • All-In Pricing: Our prices include known fees; no hidden charges.

  • Booking: Free. No deposit is charged until Dispatch, except when reserving port/vessel space (HI/AK/PR), where the deposit is charged at booking and is deemed a Dispatch.

  • Guaranteed Rate Protection (up to the deposit amount): We will reduce our service fee—including to $0 if necessary—to preserve the quoted total up to the deposit amount. If any third party requests additional fees, Customer must contact us immediately.


4. How & When Funds Are Collected

  • Balance at Delivery: Unless stated otherwise, the remaining balance is paid to the Carrier at delivery via certified funds (cash, cashier’s check, or money order).

  • Port/Offshore Timing: For port shipments, Carrier funds may be required at pickup; we provide instructions before the Carrier arrives.

  • Full Credit-Card Option (upon request):

    • Full fee $200–$600$75 convenience charge

    • Full fee $601+$150 convenience charge

  • Operational Note: Certain transports (often ≲500 miles, but not exclusively) may be charged in full at Dispatch or require up to 50% of the deposit at Dispatch based on routing/timing.


5. Availability Window, Scheduling & Delays

  • Start Window: Pickup efforts may begin on Customer’s first available date. Customer grants up to 10 calendar days from that date to secure a Carrier.

  • If Not Yet Dispatched: Customer may cancel at any time before Dispatch without penalty. To protect prior work, we may keep the listing active up to 3 additional days, contacting Customer if a Carrier becomes available; reinstatement uses the current market rate.

  • Dates Are Estimates: Pickup and delivery dates are estimates, not guarantees. Weather, road conditions, mechanical issues, and other customers’ delays can impact timing. We are not liable for consequential costs (lodging, rental cars, lost wages, etc.).

  • Dry-Run: If a vehicle is not released/ready when scheduled, a $100 dry-run fee may apply.


6. Vehicle Eligibility, Accuracy & Special Configurations

  • Operability Assumed: Unless declared otherwise, vehicles are presumed running. Failure to disclose inoperability adds $150.

  • Size/Weight & Modifications: Prices assume factory-standard dimensions and mass. Lifts, oversize tires, added aero, low ground-clearance, or other customizations must be disclosed. Misrepresentation can result in (i) forfeiture of dispatch-related fees and/or (ii) Carrier-imposed costs (including a potential $100 dry-run) if the unit cannot be loaded as represented.


7. Access, Door-to-Door Attempts & Meeting Points

  • Premium Door-to-Door, Where Safe & Legal: The Carrier will attempt pickup/delivery at the specified addresses. If physical, legal, or safety limits prevent close access (tight streets, low trees, HOA restrictions, weight limits, etc.), Customer agrees to meet at a nearby safe location.

  • Contacts Required: Customer must provide accurate contacts for both pickup and delivery and ensure a legally-aged representative is present to release/accept the vehicle and sign.

  • Unattended Instructions: If Customer authorizes unattended handoff (e.g., “keys in vehicle”), Windsor Vanguard/NX cannot assist in any claim for loss or damage arising from that choice. Delays from unavailable contacts may incur storage, holding, or redelivery fees.


8. Documentation that Protects You (BOL & Inspections)

  • Mandatory Inspections: At pickup and delivery, the Customer (or representative) and Carrier must jointly inspect the exterior and document condition on the Bill of Lading (BOL).

  • Claims Require the BOL: New damage must be noted on the delivery BOL and reported to the Carrier (and to us for assistance) within 3 business days. A clean, signed delivery BOL is conclusive evidence of satisfactory delivery.

  • Photos ≠ Proof: Photos, videos, and witness statements cannot substitute for BOL documentation. Without the BOL, we may be unable to assist with a claim.


9. Insurance, Personal Items & Claims Payment Rules

  • Carrier Cargo Insurance: While on land, vehicles are covered solely by the assigned Carrier’s cargo policy (limits/deductibles apply). Windsor Vanguard/NX is not responsible for deductibles or losses outside Carrier coverage.

  • Personal Property: Carriers are not licensed for household goods; items placed inside the vehicle are not insured.

  • Freight Charges Cannot Be Withheld: Under 49 U.S.C. §10761 and applicable ICC rulings (including Administrative Ruling No. 128), freight charges may not be delayed or withheld due to alleged loss or damage; claims are handled separately.


10. Ports, Offshore & International (PR, HI, AK & Others)

  • Service Type: Puerto Rico, Hawaii, and Alaska shipments are Door-to-Port only.

  • Proximity Pricing: If near a port, quotes may show a port drop-off rate typically $200–$300 below residential pickup.

  • Common Ports: Jacksonville, Oakland, Seattle, Kent, and Long Beach (subject to change).

  • Vessel Terms/Insurance: Some shipping lines provide minimal (“scratch & dent” around $500) or no coverage; insurance may be an add-on. Customer is responsible for obtaining vessel terms and purchasing insurance if desired.

  • Fuel Limit: Ports commonly require fuel at or below ¼ tank; exceeding may result in denial.

  • Port Payment Flow: For inbound port deliveries, the Carrier’s portion is typically paid at pickup. Customer must follow any shipping-line instructions we relay.


11. Communications & Opt-Out

By submitting an order, Customer consents to communications by phone, email, and SMS (carrier message rates may apply). To opt out, reply “UNSUBSCRIBE.” Opting out of both email and SMS can prevent delivery of key status updates.


12. Deposits, Balances & If a Card Fails

  • Deposit at Dispatch: The deposit (NX, LLC service fee) is charged when a Carrier is assigned. Once charged, the deposit is non-refundable.

  • Balances: For C.O.D. orders, balances are due at delivery to the Carrier (certified funds).

  • Unreachable / Invalid Card: If a Carrier is assigned and the card is invalid, missing, declined, or Customer cannot be reached, we may still dispatch to keep schedule. If we must collect the deposit at delivery, a $150 processing fee applies.

  • Alternate Timing: If the payor will not be at delivery, payment may be required at pickup. If balances are unavailable at delivery, the Carrier may hold the vehicle and charge storage or other fees until paid.

  • Full Card Payments: At our discretion, we may allow the full balance by credit card (convenience fee per Section 4).


13. Cancellations, Refunds & Processing Times

  • How to Cancel: Before Dispatch, Customer may cancel in writing via our website contact form (include order number).

  • After Dispatch: The deposit becomes a non-refundable cancellation fee. Offshore bookings are considered dispatched upon vessel booking number issuance.

  • If the Full Fee Was Charged by Card: Upon cancellation after Dispatch, any remaining balance is refunded in full and the deposit portion is retained (convenience fee is refunded with the full fee).

  • Refund Timing: Approved refunds post within 7–10 business days.


14. Double-Booking & Conflicts with Other Contracts

Customer agrees not to “double-book” with other carriers/brokers for the same vehicle(s). If another company picks up the vehicle after we have assigned a Carrier, it is treated as a cancellation “after carrier assigned,” and the deposit is non-refundable under Section 13. This Agreement supersedes any other transport agreement made before or after.


15. Dealers—Authority, Representation & Payment Responsibility

  • Dealer represents they are authorized to arrange transport for the dealership.

  • Liability for unpaid invoices extends to both the signing Customer and the dealership as principal.


16. Security & Prohibited Contents

Do not place the following in the vehicle: firearms, ammunition, explosives, flammables, alcohol, drugs/contraband, cash, jewelry, furs, high-value electronics, plants, or pets. These items are not covered and may result in denial of transport or liability to Customer.


17. Governing Law & Venue (Florida / Miami-Dade)

This Agreement is governed by the laws of the State of Florida. Any legal action arising from or relating to this Agreement must be filed in Miami-Dade court, and the parties consent to personal jurisdiction and venue there.


18. Defense, Indemnity & Hold Harmless

Customer shall defend, indemnify, and hold harmless NX, LLC from any and all actual or alleged causes of action, claims, demands, losses, damages, liabilities, and/or injuries (to property or persons, including without limitation wrongful death), whether brought by an individual or entity, arising out of or connected with any incident; any acts, omissions, negligence, or willful misconduct of NX, LLC or the assigned Carrier; or the actions of their respective personnel, employees, agents, or contractors in connection with or arising out of the services under this Agreement. This indemnification includes, without limitation, fines, penalties, judgments, awards, attorneys’ fees, related costs or expenses, and any reimbursements of any kind.


19. Severability, Entire Agreement & Changes

  • If any provision is invalid or unenforceable, the remainder remains in full force and effect.

  • This document constitutes the entire agreement regarding these services and supersedes prior proposals or agreements.

  • No modification is valid unless in writing and signed by Customer and an officer of NX, LLC.


20. Customer Warranties & Acceptance

By booking, Customer warrants they are the legal owner or duly authorized agent of the owner(s) and authorizes NX, LLC to arrange and dispatch a Carrier to transport the vehicle(s) identified in the order. Proceeding with the order constitutes acceptance of these Terms & Conditions.
